Regulations of the project "Mentoring with Ventures"

Regulations for the "Mentoring with Ventures" Program 
organized by Lazarski University in Warsaw 

 

§ 1 
Definitions 

  1. Organizer – Lazarski University, headquartered in Warsaw, ul. Świeradowska 43, 02-662 Warsaw, NIP: 526-10-33-168, REGON: 012192630. 

  2. Program – The "Mentoring with Ventures" Program organized by Lazarski University, aimed at startup teams. 

  3. Participant or Team of Participants – A student or team of students from Lazarski University who meet the requirements of these Regulations and have accepted its provisions. 

  4. Project – The entirety of the business concept developed by the Participant(s) within the Program, including all its components such as:  

     

    4.1. Descriptions of products or services, 

    4.2. Business model proposals, 

    4.3. Market research, 

    4.4. Marketing and sales strategies, 

    4.5. Prototypes, 

    4.6. Technical documentation, or other outputs created during the Program, 

    4.7.Know-how,  and data developed in collaboration with Mentors. 

     

5. Demo-Day – The final presentation of Projects to assembled investors. 

6. Mentor – Individuals assessing the Projects of the Participant(s). 

7. Investor(s) – Any individual or legal entity considering capital investment by acquiring shares in the startup established by the Participant(s) within the Project during the Program or within 24 months of signing this Agreement. 

8. Iteration – An in-person or remote meeting between the Participants or Teams of Participants and Mentors to develop business ideas, where the Participant(s) receive feedback and suggestions for improvement. Between 5 and 8 Iterations will take place during the Programs. 

§ 2 

General Provisions  

  1. The Organizer of the Program is Lazarski University. 

  2. The Program is aimed at startup teams whose members are students of Lazarski University. 

  3. The Program aims to develop startup projects, enabling their refinement in an iterative cycle under the guidance of venture capital investors. 

 

§ 3 

Objectives of the Program  

  1. The objectives of the Program are:  

1.1. Developing innovative startup ideas that, after at least 6 iterations, meet the investment criteria of venture capital funds. 

1.2. Building Participants' competencies in project management, business modeling, market analysis, and other key aspects of running a startup. 

1.3. Creating opportunities for cooperation between Program Participants and investors. 

 

§ 4 

Program Participants 

  1. Participants of the Program may include project teams composed of Lazarski University students. 

  2. To apply to the Program, a correctly completed application form must be submitted, containing:  

2.1. Names and album numbers of team members and their contact information, 

2.2. Project name, 

2.3. Project description. 

  1. Participation in the Program requires acceptance of these Regulations and the information regarding personal data processing. 

  1. If a Team of Participants is admitted to the Program, each team member is required to sign a statement of acceptance of the Regulations. 

 

§ 5 

Program Agenda

  1. The Program begins with a Kick-off meeting, where initial ideas are presented to Mentors. Participants receive initial feedback during the Kick-off and begin the first Iteration. 

  1. After the first Iteration, the Participant or Team of Participants decides whether to continue in the Program. Mentors may exclude Participants or Teams that fail to make adequate adjustments between the Kick-off and Iteration I. 

  2. Subsequent Iterations, numbering between 4 and 7, follow. 

  1. Demo-Day is organized as the final presentation of Projects to assembled Mentors and Investors. 

  1. Participation in the Program requires:  

5.1. Attendance at all meetings (maximum of 2 absences), 

5.2. Active involvement in Project development between Iterations. 

6. Iterations take place either on-site at Lazarski University or online.

7. Participants must attend at least two in-person meetings. 

 

§ 6 

Rules of Participation and Organizer's Rights 

 

  1. The Organizer does not charge a participation fee; however, should the Participant(s) decide to continue in the Program after the first Iteration, each Participant or Team must sign an Agreement with Lazarski University regarding the possibility of Lazarski University or its designated entity, as well as the 4 Mentors involved in the Program, collectively holding 5% equity in the Project within 24 months of signing these Regulations. 

  1. Conditions for joining and continuing in the Program include:  

2.1. Signing a statement of acceptance of the "Mentoring with Ventures" Program Regulations. 

2.2. After completing the first Iteration and deciding to continue in the Program, signing an Agreement with Lazarski University regarding the possibility of equity acquisition as outlined above. 

 

§ 7 

Project Evaluation Conditions 

  1. The total value of the entity's equity will be determined based on a valuation as specified in the term sheet or investment agreement between any capital investor and the entity established by the Participant(s). 

  1. The entity’s valuation will be calculated by dividing the investor’s investment amount by the percentage of equity acquired. 

  1. Based on the total equity value, the value of the 5% stake will be calculated as described above. 

  1. Specific details will be outlined in a separate agreement prior to Program commencement. 

 

§ 8 

Personal Data Protection  

  1. The administrator of your personal data is the Organizer. 

  2. The Administrator has appointed a Data Protection Officer, who can be contacted at iod@lazarski.edu.pl. 

  1. Your personal data will be processed for the purposes of recruitment and organization of the "Mentoring with Ventures" Program, pursuant to Article 6(1)(b) of the GDPR (processing is necessary for the performance of a contract to which the data subject is a party or to take steps at the request of the data subject prior to entering into a contract) and Article 6(1)(f) of the GDPR – the legitimate interests of the Administrator, including contact with potential participants, participants, Mentors, and Investors; proper organization of the "Mentoring with Ventures" Program by the University; fostering business relationships between Participants, Teams, Mentors, and Investors; achieving educational and business development objectives for Lazarski University students; pursuing potential claims; and after the conclusion of the Agreement, establishing, pursuing, or defending against potential claims. 

  1. Your personal data may be processed for compliance with legal obligations incumbent on the Administrator under tax law, pursuant to Article 6(1)(c) of the GDPR. 

  1. Your personal data will not be subject to automated decision-making, including profiling. 

  1. Your personal data will be stored: in the case of processing for the purposes of organizing the "Mentoring with Ventures" Program, until the completion of the Program or until the expiration of any potential claims. If you were not qualified for the Program, your data will be deleted three months after the submission of the application form. 

  1. Your data, including your name, student ID number, phone number, and email address, were obtained directly from you or another Team Member. 

  1. The recipients of your personal data will include entities authorized to access personal data under the law. Personal data may also be shared with entities that manage the Administrator’s IT systems, provide IT tools, or offer postal, hosting, or cloud services for the Administrator. Data will also be shared with Program participants, Mentors, or Investors involved in the Program. 

  1. You have the right to request access to your personal data, correction, deletion, or restriction of processing, as well as the right to data portability. 

  1. You have the right to object to the processing of your personal data at any time. 

  1. You have the right to lodge a complaint with the supervisory authority – the President of the Personal Data Protection Office. 

  1. Providing personal data is necessary for participation in the Program; failure to provide such data will result in the inability to register and participate in the Program as a Participant or Team Member, or to act as a Mentor or Investor. 

  1. Your personal data will not be transferred to a third country or international organization unless required by the Administrator’s legal obligations. 

 

§ 9 

Conclusions

1. These Regulations come into effect upon the announcement of the Program on the website. 

2. Inquiries about the Program should be directed to: startups@lazarski.pl. 

3. The Organizer reserves the right to amend the Regulations, notifying Participants via email. 

4. The Organizer, acting on the basis of a legitimate interest in maintaining documentation of organized events and sharing information about them, informs participants that during the event, photographs and video recordings will be made by designated individuals. By participating in the Program, each Participant, Mentor, and Investor accepts that their image captured in photographs or video material may be disseminated on the Organizer's websites, as well as on the Organizer's social media fan pages on platforms such as Facebook, YouTube, Instagram, and LinkedIn. Individuals who do not consent to having their image recorded are requested to inform the Organizer directly. Continued participation in the Program without such notification will be treated by the Organizer as an explicit confirmation of consent to the processing of their image for the aforementioned purposes.
